Terms of service

Version 1.0 · Last updated: 20 October 2026 · עברית

These Terms of Service (the “Terms”) are an agreement between Volares, Inc., a Delaware corporation (“Volares”, “we”, “us”), and the law firm, legal department or other organization that accepts them (the “Customer”, “you”). By clicking “Accept”, or by signing an order form that refers to them, you agree to these Terms on the Customer’s behalf and confirm that you are authorized to bind it.

1. Who Volares is for

1.1 Volares is software for lawyers. We offer the Services only to law firms, lawyers, in-house legal departments and their staff, for use in a legal practice. We do not offer the Services to individuals or businesses seeking legal help for themselves.

1.2 You must be a business. You may accept these Terms only for an organization, and only if you are at least 18 years old. The Services are not offered to consumers.

1.3 Volares does not provide legal advice. Volares is not a law firm, does not practice law, and does not form an attorney-client relationship with you, your users or your clients. Nothing in the Services is legal advice.

2. The Services

2.1 “Services” means the Volares platform, including the web application, the Word add-in, the API and MCP server, and related support, as described at volares.com and in any order form.

2.2 Access. Subject to these Terms and payment of the fees, we grant you a non-exclusive, non-transferable right, during the subscription term, to let your Users access and use the Services for your internal legal work.

2.3 Users. A “User” is an individual you authorize to use the Services under your account: your personnel, and, where you invite them, your clients or co-counsel as external users. You are responsible for your Users, for keeping their credentials confidential, and for removing access when a User should no longer have it. Each seat is for one named User.

2.4 Changes. We improve the Services continuously. We may change them, provided we do not materially reduce their core functionality during a paid term. Features marked as preview, beta or experimental are provided as they are, may change or stop, and are excluded from any service commitment.

3. AI output is draft work product

3.1 Draft work product for a lawyer to review. The Services use AI models to analyze documents and produce drafts, summaries, findings, answers, redlines and other content (“Output”). Output is draft work product, produced for a qualified lawyer to review, amend and adopt. It is not legal advice and is not a substitute for a lawyer’s judgment.

3.2 Output can be wrong. AI output may be inaccurate, incomplete or out of date, may cite sources incorrectly, and may differ between runs. You are responsible for reviewing all Output, and for any advice you give, document you file or send, or action you take using it.

3.3 Your professional obligations stay yours. You remain responsible for meeting your professional and ethical obligations, including supervision, competence, confidentiality and communication with your clients about your use of technology.

3.4 Actions that leave the platform. You are responsible for every action that you or your Users direct, configure or approve the Services to take on your behalf, such as sending a message, filing or signing.

4. Your data

4.1 You own your data. As between you and us, you own all data, documents and other content that you or your Users submit to the Services (“Customer Content”) and all Output (“Customer Data” means both).

4.2 Our use of your data. You grant us a limited right to host, copy, process, transmit and display Customer Data only to provide, secure and support the Services for you, and as the law requires. We do not sell Customer Data.

4.3 No training. We do not use Customer Data to train, fine-tune or otherwise improve any AI model. The models we use run on Amazon Bedrock, whose terms say that AWS and the model providers do not use inputs or outputs to train models.

4.4 No use for our own legal services. We do not use Customer Data for any law firm or legal-services business that Volares owns or operates.

4.5 Personal data. We process personal data in Customer Data as your processor, only on your instructions and to provide the Services. Our Privacy Policy describes how we handle it and the personal data we process as a controller. If you and we sign a data processing agreement (a “DPA”), it forms part of these Terms.

4.6 Your responsibilities for Customer Content. You are responsible for Customer Content and for having every right, notice and consent needed to submit it, including about your clients and third parties. You decide whether the Services are appropriate for material that is confidential, privileged or subject to professional secrecy.

4.7 Connectors and third-party services. If you enable an integration or connector, including the Volares MCP connector that lets an AI application you choose call the Services, Customer Data you request through it goes to that third party on your instruction and under your own terms with it. We are not responsible for that third party’s processing.

4.8 Aggregate usage data. We may collect technical and usage information about how the Services operate (for example, performance, errors and feature use, such as the number of documents processed) to run, secure and improve them. It does not include the content of Customer Content, and we do not use it to identify you or your clients to anyone else.

5. Acceptable use

5.1 Lawyers stay in charge. Do not give Output to a client, a court, a regulator or any other person as advice, a filing or a final document unless a lawyer qualified to do so has reviewed and adopted it. Do not use the Services to offer legal advice or legal services directly to the public, and do not present Volares, or Output, as a lawyer, a law firm or a source of legal advice. If you invite clients or co-counsel as external users, you remain responsible for what they see and do.

5.2 Content. Do not upload, store, generate or send content that you have no right to use, or that infringes someone’s intellectual property, privacy or confidentiality, except as the law permits in the course of legal work; that sexualizes minors; that facilitates violence, terrorism or weapons capable of mass casualties; that is malware; or that is used to defraud, deceive or harass anyone, including fabricated evidence, forged documents or impersonation.

5.3 Conduct. Do not: access or try to access another customer’s data, or any account, system or data you are not authorized to use; probe, scan or test the vulnerability of the Services, or bypass any security measure, rate limit, usage cap or access control, without our written permission; interfere with or overload the Services, or use them to send spam; share credentials, or let more people use a seat than it is licensed for; extract data from the Services by automated means other than the API and MCP server we provide, or use the Services to train a model that competes with them; use the Services to make decisions about individuals’ access to employment, housing, credit, insurance or public benefits without the human review the law requires; or use the Services to break any law that applies to you.

5.4 AI models. You must also follow the use policies of the providers whose models run in the Services, as AWS passes them on to its customers, including Anthropic’s Usage Policy. We may block a request that a model provider’s safety systems refuse.

5.5 Enforcement. We may investigate a suspected breach of this section. Where we reasonably believe a breach has occurred, we may remove or disable the content involved, or suspend the Users or account involved as section 13.4 provides, giving notice and, where we can, a chance to fix it first. We may report unlawful activity to the authorities.

5.6 Reporting. Report a breach of this section, or a security vulnerability, to yakir@volares.com.

6. Fees

6.1 Fees. You pay the fees for the plan you choose, as shown at checkout or in an order form. Card subscriptions are charged in advance through our payment processor, Stripe, and renew automatically for the same period unless cancelled before renewal. Invoiced fees are due 30 days from the invoice date.

6.2 Taxes. Fees exclude taxes. You pay all applicable taxes other than taxes on our income.

6.3 Late payment. We may suspend the Services for undisputed fees unpaid, on 14 days’ written notice.

6.4 Refunds. Except where these Terms say otherwise, fees are non-refundable, and cancellation takes effect at the end of the current billing period.

6.5 Price changes. We give at least 30 days’ notice of a price change, which applies from your next renewal.

7. Confidentiality

7.1 Each party will protect the other’s Confidential Information with at least reasonable care, use it only to perform under these Terms, and disclose it only to its personnel and advisers who need to know it and are bound by confidentiality. Customer Data is your Confidential Information.

7.2 “Confidential Information” excludes information that is or becomes public through no fault of the recipient, was known to the recipient without restriction, is independently developed, or is received lawfully from a third party without restriction.

7.3 A party may disclose Confidential Information where the law requires it, after giving the other party prompt notice where lawful, so that it may seek protection. Where a request concerns Customer Data, we will direct the requester to you where we lawfully can.

8. Intellectual property

8.1 We own the Services, including the software, models we configure, templates and playbooks we provide, and all improvements. Nothing in these Terms transfers them to you.

8.2 If you send us suggestions or feedback, we may use them without obligation to you.

8.3 You may not, and may not let anyone: copy, modify or create derivative works of the Services; reverse engineer them except as the law permits; use them to build a competing product; or resell them, except as an order form allows.

9. Security and availability

9.1 We maintain technical and organizational measures to protect Customer Data, including those our Privacy Policy describes.

9.2 We aim to keep the Services available and to give advance notice of planned maintenance where we can. No service-level commitment applies unless an order form includes one.

10. Warranties and disclaimers

10.1 Each party warrants that it has the authority to enter into these Terms. We warrant that the Services will perform materially as described in our documentation during a paid term. Your remedy for a breach of this warranty is that we will correct the non-conformity, or, if we cannot within a reasonable time, either party may terminate the affected Services and we will refund prepaid fees for the remainder of the term.

10.2 Except as these Terms expressly state, the Services and Output are provided “as is”. To the extent the law permits, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of Output.

11. Indemnities

11.1 By us. We will defend you against a third-party claim that the Services, as we provide them, infringe that party’s intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. This does not apply to claims arising from Customer Content, Output as you use it, combinations with things we did not provide, or use in breach of these Terms.

11.2 By you. You will defend us against a third-party claim arising from Customer Content, from your or your Users’ use of Output, including advice given to your clients, or from your breach of section 5, and pay the damages and costs finally awarded or agreed in settlement.

11.3 Process. The indemnified party gives prompt notice, reasonable cooperation and control of the defense to the other party, which may not settle a claim that imposes an obligation on the indemnified party without its consent.

12. Limitation of liability

12.1 Cap. Except for the exclusions in section 12.3, each party’s total liability arising out of or relating to these Terms is limited to the fees paid or payable by you in the 12 months before the event giving rise to the claim.

12.2 Excluded damages. Except for the exclusions in section 12.3, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, even if advised of their possibility.

12.3 Exclusions. The cap and the exclusion do not apply to: your obligation to pay fees; a party’s indemnity obligations; a party’s breach of section 7 (Confidentiality) or of a DPA, which is instead capped at 2 times the amount in 12.1; or liability that the law does not allow to be limited.

13. Term and termination

13.1 Term. These Terms start when you accept them and continue until every subscription ends.

13.2 For breach. Either party may terminate on written notice if the other materially breaches these Terms and does not cure the breach within 30 days of notice.

13.3 For convenience. You may cancel a card subscription at any time in the product, effective at the end of the current billing period.

13.4 Suspension. We may suspend a User or the account immediately, with notice, if we reasonably believe its use threatens the security or integrity of the Services or breaches section 5, for as long as the threat or breach lasts.

13.5 Your data at the end. Before closing your account you can export your files. When you close it, there is a 7-day period in which the closure can be cancelled; after it, we delete Customer Data. Deleted file versions expire from storage within 30 days, and encrypted database backups within 7 days.

13.6 Survival. Sections 4.1, 7, 8, 10.2, 11, 12, 13.5, 13.6 and 14 survive termination.

14. General

14.1 Changes to these Terms. We may update these Terms. We will give at least 30 days’ notice of a material change by email to your admins and in the product. If you do not agree, you may cancel before the change takes effect; continued use after it means you accept it.

14.2 Governing law and venue. These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising out of or relating to them.

14.3 Disputes. Before starting proceedings, the parties will try for 30 days to resolve a dispute through discussion between senior representatives, except for urgent injunctive relief.

14.4 Notices. We send notices to the email address of your account admins. You send notices to yakir@volares.com.

14.5 Assignment. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all its assets, on notice.

14.6 Export and sanctions. You will not use the Services in breach of the export control or sanctions laws that apply to you or to us, including those of the United States.

14.7 Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, other than payment obligations.

14.8 Entire agreement. These Terms, any DPA and any order form are the entire agreement on their subject. If they conflict, the order of precedence is: a DPA (for personal data), an order form, then these Terms.

14.9 Language. These Terms are published in English and in Hebrew. If the two versions conflict, the English version prevails.

14.10 Other. If a provision is unenforceable, the rest remains in force. A failure to enforce is not a waiver. The parties are independent contractors. There are no third-party beneficiaries.
